These Terms and Conditions ("Terms") govern your use of the Prime Site Studio LLC website and services. By engaging our services or using our website, you agree to these Terms in full.
1. Services
Prime Site Studio LLC provides web design, web development, SEO, and related digital services. The specific scope of services for each project is defined in a written proposal or statement of work agreed upon by both parties prior to commencement.
2. Payment Terms
Standard payment terms are:
- 50% deposit required before project commencement
- Remaining 50% due upon project completion and before final file delivery
- Milestone-based payment schedules available for projects over $2,000
- Late payments are subject to a 1.5% monthly interest charge
3. Revisions & Modifications
All plans include unlimited revisions during the design phase and up to 3 rounds of revisions during development. Additional revision rounds beyond the included scope may be billed at our hourly rate of $95/hour. Significant scope changes after project commencement may require a revised proposal.
4. Intellectual Property & Ownership
Upon receipt of final payment, the client receives full ownership of all custom code, design files, and content created specifically for their project. Prime Site Studio LLC retains the right to display the completed project in our portfolio unless otherwise agreed in writing. Third-party assets (stock photos, fonts, plugins) remain subject to their respective licenses.
5. Client Responsibilities
The client agrees to:
- Provide all required content, images, and materials in a timely manner
- Respond to feedback requests within 5 business days to avoid project delays
- Ensure all provided content does not infringe on third-party intellectual property
- Provide accurate business information for the project
6. Project Timeline
Timelines provided are estimates based on typical project scopes and timely client feedback. Delays caused by late content delivery, extended feedback periods, or scope changes may extend the project timeline. Prime Site Studio LLC will communicate any timeline adjustments promptly.
7. Limitation of Liability
Prime Site Studio LLC's total liability for any claim arising from our services shall not exceed the total fees paid by the client for the specific project in question. We are not liable for indirect, incidental, or consequential damages including lost profits or business interruption.
8. Termination
Either party may terminate a project with 14 days written notice. In the event of client-initiated termination, the client forfeits the deposit and is responsible for payment of all work completed to date. In the event of Prime Site Studio LLC-initiated termination, a pro-rated refund of the deposit will be issued for work not yet completed.
9. Governing Law
These Terms are governed by the laws of the State of California. Any disputes shall be resolved in the courts of Orange County, California.
